Loanelo and its subsidiaries and affiliates (“Loanelo,” “we,” or “us”), require that all visitors to this Web site operated by Loanelo (the “Site”) adhere to the following terms and conditions of use. By accessing and using the Site, you agree, on your own behalf and on behalf of any corporation or other legal entity that you represent or for which you access the Site (your “Company”), to be bound by and comply with the following terms and conditions of use (these “Terms”) and to comply with all applicable laws and regulations. If you do not agree to these Terms, you are not authorized to use the Site. BY ACCESSING AND USING THE SITE, YOU AGREE TO BE BOUND BY THESE TERMS.

  1. CHANGES TO THESE TERMS AND THE SITE

We may change these Terms at any time, and all such changes are effective immediately upon notice, which we may give by any means, including, but not limited to, by posting a revised version of these Terms or other notice on the Site. You should view these Terms often to stay informed of changes that may affect you. Your use of the Site constitutes your continuing agreement to be bound by these Terms, as they are amended from time to time. You understand and agree that we own, or (where applicable) we have licensed from third parties, all right, title, and interest in and to the Site and all the Content. You acknowledge and agree that the Content constitutes valuable proprietary information that is protected by applicable intellectual property and other proprietary rights, laws, and treaties of the United States and other countries, and that you acquire no ownership interest by accessing or using the Site or the Content. Such intellectual property and proprietary rights may include, but are not limited to; copyrights, trademarks and service marks, trade dress, and trade secrets, and all such rights are the property of Loanelo or its licensors and content providers.

You may view, download for caching purposes only, and print pages from Loanelo for your own personal use, subject to the restrictions set out below and elsewhere in these terms and conditions.

You must not:

  • sell, rent or sub-license material from the Loanelo;
  • reproduce, duplicate, copy, or otherwise exploit material on this Loanelo for a commercial purpose;
  • republish material from the Loanelo (including republication on another website or app) except for as provided in Permitted Sharing below;
  • show any material from the Loanelo in public except for as provided in Permitted Sharing below;
  • edit or otherwise modify any material in the Loanelo; or redistribute material from the Loanelo without permission from Loanelo except as provided in Permitted Sharing below;
  • use a group inbox to subscribe to the Newsletter, or;
  • share Newsletters designated as “Daily Updates” beyond the limits provided in Permitted Sharing below. Newsletters designated as “Weekly Articles” may be shared freely. If more than one person in your company wants regular access to the Newsletter, Loanelo offers volume pricing for multiple subscriptions.

Violation of any of these restrictions (or any other of the Terms of Service) shall result in immediate account termination without warning and without refund. Moreover, any violation of these restrictions may further subject you to liability for violation of Loanelo intellectual property rights and further claims and damages.

Permitted Sharing

A subscription is for one person only.

  1. Newsletters designated “Weekly Articles” may be forwarded without limit.
  2. Newsletters designated “Daily Updates” may be forwarded privately to a friend(s) or colleague(s) no more than four times per month provided it does not result in the Newsletter’s publication in any form.
  3. You may take a screenshot of partial content from the Loanelo for the purpose of sharing privately or on social media no more than four times per month provided such publication includes attribution to Loanelo.
  4. You may reproduce a reasonable excerpt from the Loanelo for a blog post or other publication provided such publication includes attribution and link to Stratechery.com. Such excerpt shall not to exceed 40% of content in the originating Loanelo.
  5. You may share clips of Podcasts provided they do not exceed 2 minutes in length for the purpose of sharing privately or on social media no more than four times per month provided such publication includes attribution to the Podcast.

Loanelo reserves the right to terminate any or all of these exceptions at any time globally or on an individual user basis.

  1. TERMINATION OF ACCESS

5.1 Loanelo reserves the right, in its sole discretion, to terminate your access to all or part of the Site, without notice or liability, for any reason, including, but not limited to: (a) the unauthorized use of any username or password; or (b) the breach of any agreement between you and Loanelo, including, without limitation, these Terms. Following any such termination of access, you will continue to be bound hereunder to the fullest extent applicable.

5.2 Upon being notified that your access is terminated, you must destroy any materials you have obtained from the Site. You may not access the Site after your access is terminated without our written approval. After terminating your access, Loanelo will retain all rights, including all intellectual property rights, proprietary rights, and licenses retained in these Terms, and the limitations upon your use and treatment of Content will remain in full force.

Acceptable Use

You must not use the Loanelo in any way that causes, or may cause, damage to the Loanelo, or impairment of the availability or accessibility of the Loanelo; or in any way which is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity.

You must not conduct any systematic or automated data collection activities (including without limitation scraping, data mining, data extraction and data harvesting) on or in relation to the Loanelo.

You must not use the Loanelo for any purposes related to marketing without Loanelo express written consent.

Restricted access

Access to certain areas of the Website is restricted. Loanelo reserves the right to restrict access to other areas of this website, or indeed this entire website, at Loanelo discretion.

If Loanelo provides you with a user ID and password to enable you to access the Newsletter or restricted areas of this Website or other content or services, you must ensure that the user ID and password are kept confidential.

If Loanelo provides you with an RSS feed that includes restricted content, you may not share that feed or use it in any application other than an RSS feed reader. Loanelo may disable your RSS access at any time at its sole discretion without notice or explanation.

Loanelo may disable your user ID and password in Loanelo sole discretion without notice or explanation.

User Content

In these terms and conditions, “your user content” means material (including without limitation text, images, audio material, video material and audio-visual material) that you submit to this website, for whatever purpose.

You grant to Loanelo a worldwide, irrevocable, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate and distribute your user content in any existing or future media. You also grant to Loanelo the right to sub-license these rights, and the right to bring an action for infringement of these rights.

Your user content must not be illegal or unlawful, must not infringe any third party’s legal rights, and must not be capable of giving rise to legal action whether against you or Loanelo, the Contract Partners, or a third party (in each case under any applicable law).

You must not submit any user content to the website that is or has ever been the subject of any threatened or actual legal proceedings or other similar complaint.

Loanelo reserves the right to edit or remove any material submitted to this website, or stored on Loanelo servers, or hosted or published upon this website.

Notwithstanding Loanelo rights under these terms and conditions in relation to user content, Loanelo does not undertake to monitor the submission of such content to, or the publication of such content on, the Website.

By posting any user content on the Website, you expressly grant, and you represent and warrant that you have all rights necessary to grant, to Loanelo a royalty-free, sub-licensable, transferable, perpetual, irrevocable, non-exclusive, worldwide license to use, reproduce, modify, publish, list information regarding, edit, translate, distribute, syndicate, publicly perform, publicly display, and make derivative works of all such user content and your name, voice, and/or likeness as contained in your user content, in whole or in part, and in any form, media or technology, whether now known or hereafter developed, for use in connection with the Website, Newsletter, and any other product now existing or later developed by Loanelo (and its successors’, affiliates’, and Contract Partners) including without limitation for promoting and redistributing part or all of the Loanelo (and derivative works thereof) in any media formats and through any media channels.

To Other Users: You also hereby grant each user of the Loanelo a non-exclusive license to access your user content.

Third-Party Links

The Loanelo may contain links to third-party websites, advertisers, services, special offers, or other events or activities that are not owned or controlled by Loanelo. Loanelo does not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. If you access a third party website from the Loanelo, you do so at your own risk, and you understand that this Agreement and Loanelo Privacy Policy do not apply to your use of such sites. You expressly relieve Loanelo from any and all liability arising from your use of any third-party website, service, or content. Additionally, your dealings with or participation in promotions of advertisers found on the Service, including payment and delivery of goods, and any other terms (such as warranties) are solely between you and such advertisers. You agree that Loanelo shall not be responsible for any loss or damage of any sort relating to your dealings with such advertisers.

In connection with your access and use of the Site and that of any person authorized by you to access and use the Site, you are responsible for complying with all applicable laws, regulations, and policies of all relevant jurisdictions, including all applicable local rules regarding online conduct. Not in limitation of the previous sentence, in connection with your use of the Site, neither you nor your Company may cause or permit any person to do any of the following:

By making a Submission, you automatically grant, and you represent and warrant that you have the right to grant, to Loanelo an irrevocable, perpetual, non-exclusive, transferable, royalty-free, worldwide license to use, copy, publicly perform, publicly display, reformat, translate, excerpt (in whole or in part) and distribute such Submission for any purpose, commercial, advertising, or otherwise, on or in connection with the Site or the promotion thereof, to prepare derivative works of, or incorporate into other works, such Submission, and to grant and authorize sub-licenses of the foregoing.

You agree to notify Loanelo immediately if you discover loss or access to such information by another party not under your control and supervision. Loanelo will not be liable for any loss or damage arising from the unauthorized use of your username or password.

10.1 This Site includes hyperlinks to other websites which are not maintained by Loanelo. We are not responsible for the content of such external websites and we make no representations whatsoever concerning the content or accuracy of, opinions expressed in, or other links provided by such websites. The inclusion of any hyperlink to external websites does not imply endorsement by Loanelo of those websites or any products or services referred to therein. The terms of service and privacy policies applicable to external websites may be different from those applicable to our Site. If you decide to access any external website through a link within our Site, you do so entirely at your own risk, and Loanelo will have no liability for any loss or damage arising from your access or use of any external website. Severability

If any provision of this website disclaimer is, or is found to be, unenforceable under applicable law, that will not affect the enforceability of the other provisions of this website disclaimer.

Breaches of these terms and conditions

Without prejudice to Loanelo other rights under these terms and conditions, if you breach these terms and conditions in any way, Loanelo may take such action as Loanelo deems appropriate to deal with the breach, including suspending your access to the Loanelo, prohibiting you from accessing the Loanelo, blocking computers using your IP address from accessing the Loanelo, contacting your internet service provider to request that they block your access to the Loanelo and bringing legal proceedings against you.

Entire agreement

These terms and conditions constitute the entire agreement between you and Loanelo in relation to your use of the Loanelo, and supersede all previous agreements in respect of your use of the Loanelo.

Payment Information; Taxes

All information that you provide in connection with a purchase or transaction or other monetary transaction interaction with the Loanelo must be accurate, complete, and current. You agree to pay all charges incurred by users of your credit card, debit card, or other payment method used in connection with a purchase or transaction or other monetary transaction interaction with the Loanelo at the prices in effect when such charges are incurred. You will pay any applicable taxes, if any, relating to any such purchases, transactions or other monetary transaction interactions. There are no refunds.

Podcast  or other Contract Partners Shared Content Pro Rata Refunds

In the event any podcast or other shared content operated by a Contract Partners ceases production for which you have already paid a subscriptions, you will be refunded on a pro rata basis.

  1. LIMITATION OF LIABILITY

13.1 In no event will Loanelo, its contractors, suppliers, content-providers, and other similar entities, and the officers, directors, employees, representatives, and agents of each of the foregoing (collectively, our “Representatives”), be liable to you, your Company, or any third party for any losses or damages, alleged under any legal theory, arising out of or in connection with: (a) your use of, or reliance on, the Site or the Content; (b) our performance of or failure to perform our obligations in connection with these Terms; (c) the defamatory, offensive, or illegal conduct of other users of the Site or of third parties; or (d) your purchase or use of any goods or services provided by third parties.

13.2 Under no circumstances will Loanelo or our Representatives be liable to you, your Company, or any third party for any indirect, consequential, incidental, punitive, special, or similar damages or costs (including, but not limited to, lost profits or data, loss of goodwill, loss of or damage to property, loss of use, business interruption, and claims of third parties) arising out of or in connection with these Terms or the use of the Site or the Content, or the transmission of information to or from the Site over the Internet, even if we were advised, knew, or should have known of the possibility of such damages or costs. In a jurisdiction that does not allow the exclusion or limitation of liability for certain damages, the liability of Loanelo and the Representatives will be limited in accordance with these Terms to the extent permitted by law.

13.3 Without limiting any of the foregoing, if Loanelo or any of the Representatives is found liable to you or to any third party as a result of any claims or other matters arising under or in connection with these Terms, the Site, or your use of the Site, the maximum liability for all such claims and other matters will not exceed $25 in any calendar year.

  1. INDEMNIFICATION

You agree to defend, indemnify and hold harmless Loanelo, and our officers, directors, employees, representatives, and agents, from and against all claims, demands, suits, or other proceedings, and all resulting loss, damage, liability, cost, and expense (including reasonable attorneys’ fees), arising out of: (a) your Submissions; (b) your access to and use of the Content, the Site, and other materials, products, and services available on or through the Site and Loanelo; (c) your violation of these Terms; (d) your violation of any rights of any third party; (e) your website; and (f) any unauthorized use of a username, password, or other identifiers. We reserve, and you grant to us, the right to assume the exclusive defense and control of any matter subject to indemnification by you hereunder.

  1. JURISDICTION

These Terms will be construed and enforced in accordance with the laws of the State of Washington and City of Seattle (King County). Each of you and your Company submits to personal jurisdiction in Washington, and any cause of action arising under these Terms or otherwise involving this Site will be brought exclusively in a court in King County, Washington.

  1. WAIVER OF JURY TRIAL

YOU HEREBY KNOWINGLY AND VOLUNTARILY WAIVE THE RIGHT TO A JURY TRIAL IN ANY ACTIONS, SUITS, OR PROCEEDINGS ARISING OUT OF OR RELATING TO THESE TERMS AND THE MATTERS CONTEMPLATED HEREBY

18.7 If any provision of these Terms is held to be invalid or unenforceable, that provision will be stricken and will not affect the validity and enforceability of any remaining provisions.

18.8 Possible evidence of use of the Site for illegal purposes will be provided to law enforcement authorities.

18.9 Discontinuation of use of this Site is your sole right and remedy for any dissatisfaction with the Site or any of the Content.

18.1 Assignment – Loanelo may transfer, sub-contract or otherwise deal with Loanelo rights and/or obligations under these terms and conditions without notifying you or obtaining your consent.  You may not transfer, sub-contract or otherwise deal with your rights and/or obligations under these terms and conditions.

  1. OTHER AGREEMENTS

If you have entered into a separate written agreement with Loanelo with respect to your use of the Site or any Content, that agreement will supersede these Terms to the extent they are in conflict.
